By accessing, browsing, or using the ourion platform and services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our services. These Terms constitute a legally binding agreement between you and ourion B.V., a company registered in the Netherlands with registration number 63581927.
ourion provides Software as a Service (SaaS) platform solutions including cloud infrastructure, data management, API integrations, and related technology services. Our services are designed to help businesses streamline operations, enhance productivity, and drive digital transformation. The specific features and functionality available to you may depend on your subscription plan and service agreement.
To access certain features of our services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account or any other breach of security. ourion will not be liable for any loss or damage arising from your failure to comply with these obligations.

The ourion platform, including all software, content, trademarks, logos, and other materials, is owned by ourion B.V. and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use our services in accordance with these Terms. You retain ownership of any data or content you upload to our platform, and you grant us a licence to use such data solely for the purpose of providing our services to you. You may not copy, modify, distribute, sell, or lease any part of our services without our prior written consent.
Our services are provided on a subscription basis with fees determined by your chosen service plan. Payment terms, billing cycles, and cancellation policies are specified in your service agreement. All fees are non-refundable unless expressly stated otherwise. We reserve the right to modify our pricing with reasonable notice. Failure to pay fees when due may result in suspension or termination of your access to our services.
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your information as described in our Privacy Policy. We implement appropriate security measures to protect your data, but you acknowledge that no method of transmission over the internet is completely secure.
We strive to provide reliable and continuous access to our services, but we do not guarantee that our services will be available at all times. Our services may be subject to planned maintenance, updates, or unexpected technical issues. We will make reasonable efforts to provide advance notice of planned maintenance that may affect service availability. We are not liable for any inconvenience or loss resulting from service interruptions.
To the fullest extent permitted by applicable law, ourion B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services. Our total liability to you for all claims arising from or relating to these Terms or our services shall not exceed the amount you have paid us for the services in the twelve months preceding the claim. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential damages, so the above limitations may not apply to you.
Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will meet your requirements, be uninterrupted, timely, secure, or error-free. You use our services at your own risk and discretion.
You agree to indemnify, defend, and hold harmless ourion B.V., its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or relating to your use of our services, your violation of these Terms, or your violation of any rights of another party.
Either party may terminate this agreement at any time with appropriate notice as specified in your service agreement. We may suspend or terminate your access to our services immediately if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to our business or other users. Upon termination, your right to use our services will cease immediately, and we may delete your account and data in accordance with our data retention policies.
These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the competent courts of the Netherlands, and the parties hereby consent to personal jurisdiction and venue therein. If you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence.
We encourage you to contact us directly to resolve any disputes. If we cannot resolve a dispute through direct negotiation, disputes may be resolved through binding arbitration in accordance with the rules of the Netherlands Arbitration Institute, unless you are a consumer entitled to bring proceedings in court under applicable consumer protection laws.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after any changes indicates your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using our services.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions will not be affected or impaired thereby, and such provision will be reformed to the minimum extent necessary to make it valid, legal, and enforceable.
These Terms, together with our Privacy Policy and any service agreement you have entered into with us, constitute the entire agreement between you and ourion B.V. regarding the use of our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
